Terms of Service

Last updated: July 25, 2026

DRAFT — NOT YET LEGAL TEXT. This document is a review draft. Every [OWNER: ...] marker is a decision the owner must make (with counsel) before launch. See docs/legal/README.md for the fill-in checklist.

1. Who we are and what these Terms cover

These Terms of Service ("Terms") govern your use of the f3 platform — the websites, Proof Pages, Proof Scores, the accountability agent, and related services (together, the "Service") operated by [OWNER: legal entity name, e.g. "f3 Ventures, Inc."], a company registered in [OWNER: jurisdiction of incorporation] ("f3", "we", "us").

By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service you represent that you are 18 or older and legally able to enter into these Terms. If you use the Service on behalf of a company or venture, you represent that you are authorized to bind that entity.

3. Your account

You sign in with your email address (via a magic link or a password). You are responsible for keeping access to that email account secure and for all activity that occurs under your f3 account. Tell us promptly at [OWNER: contact email] if you believe your account has been compromised.

4. The Service

f3 turns work you choose to share — shipped products, commitments, interviews, endorsements — into a structured public record: a Proof Page for your venture, a Proof Score, and related tools such as an accountability agent and investor-facing materials.

You understand that:

5. Public by design

Core parts of the Service are intentionally public. Your venture's Proof Page, your person identity card, your Proof Score, and content you publish to those surfaces are visible to anyone on the internet — including search engines and AI crawlers — once published. Do not put anything on a public surface that you are not comfortable making public. Some surfaces offer restricted lenses (e.g. funder-only views); we describe what is visible to whom in the product itself, and in our Privacy Policy.

6. Your content

You retain ownership of the content you submit to the Service — profile information, interview answers, documents, media, testimonials, and imported material ("Your Content").

You grant f3 a worldwide, non-exclusive, royalty-free license to host, store, process (including with AI models, as described in the Privacy Policy), display, and distribute Your Content as needed to operate, improve, and promote the Service — including displaying public content on public surfaces. This license ends when you delete the content or your account, except for content you shared publicly that others have re-shared, and copies kept in routine backups for a limited period.

You are responsible for Your Content. You represent that you have the rights to share it and that it does not violate any law or anyone else's rights (including confidentiality obligations to employers or investors).

7. Testimonials and endorsements

Other users may write testimonials or endorsements about you or your venture, and you may write them about others. Endorsements must reflect the author's genuine experience. We may remove endorsements that appear fraudulent, abusive, or unlawful, but we do not guarantee the accuracy of any user-submitted content.

8. Imported material (LinkedIn and similar)

Where the Service lets you import your own data (for example, pasting your own LinkedIn profile text or uploading your own LinkedIn data export), you may only import data that is yours to share. We never scrape third-party sites on your behalf, and the Service is designed to drop other people's names from imports before anything is stored.

9. Acceptable use

You agree not to:

We may suspend or terminate accounts that violate these Terms.

10. Fees

Core parts of the Service are currently offered free of charge. If we introduce paid features, we will present pricing and payment terms before you are charged, and those terms will form part of these Terms.

11. Intellectual property

The Service itself — including the Proof Score methodology, software, design, and branding — is owned by f3 and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights. You may not copy, modify, or create derivative works of the Service, or use our branding, without our written permission.

12. Third-party services

The Service depends on third-party providers (for example: authentication and database infrastructure, email delivery, analytics, error tracking, file storage, and AI model providers — named in the Privacy Policy). We are not responsible for third-party services' availability, and their terms may apply to your use of features they power. The Service may also contain links to external sites we do not control.

13. Termination

You may stop using the Service and request deletion of your account at any time by contacting [OWNER: contact email] or using in-product tools where available. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service (with reasonable notice where practicable). Sections that by their nature should survive termination (including 6, 11, 14, 15, and 16) survive.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SCORES, AI OUTPUT, OR OTHER CONTENT WILL BE ACCURATE OR RELIABLE. NOTHING ON THE SERVICE IS INVESTMENT, LEGAL, TAX, OR OTHER PROFESSIONAL ADVICE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, F3 AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) [OWNER: liability cap amount, e.g. USD 100]. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

16. Indemnification

You will indemnify and hold f3 harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms.

17. Governing law and disputes

These Terms are governed by the laws of [OWNER: governing law jurisdiction], without regard to conflict-of-law rules.

[OWNER: dispute-resolution choice — pick ONE with counsel: (a) courts of a named venue; (b) binding arbitration with a named body and seat, including whether to add a class-action waiver and a small-claims carve-out. This is a significant legal decision — do not launch with this placeholder.]

18. Changes to these Terms

We may update these Terms from time to time. For material changes we will give notice (for example by email or an in-product notice) before the changes take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.

19. Contact
